Terms & Conditions

Effective June 2022 onward.

1. Scope of Work

All services will be provided as outlined in your chosen package, proposal, or custom agreement. Any additional requests outside the agreed scope will be billed at our standard hourly or project rates and require written approval.

2. Payment & Invoicing

  • All services require upfront payment or a signed payment schedule agreement before work begins.

  • Late payments (over 7 days past due) may result in paused work or additional fees.

  • Payment methods accepted: e-transfer, credit card, PayPal, or invoiced third-party processors.

  • Monthly retainers and subscriptions are billed in advance on the agreed schedule.
     

3. Auto-Renewal Terms (Subscriptions & Retainers)

Certain services—including digital subscriptions, membership access, and ongoing marketing retainers—may auto-renew unless canceled.

  • By signing up, you authorize recurring billing based on the agreed pricing and frequency.

  • You may cancel at any time with 14 days’ written notice before your next billing cycle.

  • Renewal details will be clearly stated in your service confirmation and invoices.

  • Cancellations or changes must be submitted by email to [your email address].
     

4. Intellectual Property

  • All custom work (logos, branding, copy, designs, templates) will be transferred to the client upon final payment, unless otherwise noted.

  • We retain the right to showcase completed projects as part of our portfolio, unless otherwise agreed in writing.
     

5. Client Responsibilities

To ensure timelines and quality, clients agree to:

  • Provide timely access to necessary logins, content, approvals, and assets.

  • Respond to requests and feedback within agreed timelines.

  • Approve final deliverables before publishing or launch.

 

6. Service-Specific Conditions

 

-Digital Ads

Paid media budget (ad spend) is not included in package pricing.

If you do not have a leverageable landing page, lead magnet, or form, setup costs may be added and scoped in advance.

Ad campaigns will not launch without written approval of creative and copy.
 

-Social Media

Paid ad spend is not included unless part of a dedicated ad campaign package.

All content requires client approval unless a full-content management agreement is signed.
 

-Website Services

Includes site design, layout, and basic SEO as outlined in your package.

Additional pages, copywriting, or integrations outside scope will be quoted separately.

Timelines rely on the client’s timely delivery of content and feedback.
 

-Email Marketing

Clients must have a legally acquired and permission-based email list.

Platform subscription fees (e.g., Mailchimp, Flodesk) are not included unless otherwise noted.

Strategy includes 1–2 rounds of feedback per campaign or flow.
 

-Digital Subscriptions

Platform fees for third-party tools (Wix, Teachable, Stan, etc.) are not included.

Subscription setup includes strategy and implementation only; ongoing management is available via retainer.

You are responsible for content delivery and fulfillment once launched.
 

-Optimization & Custom Services

Includes services such as Google My Business updates, blog repurposing, metrics cleanup, and event campaigns.

Scope will be defined in writing before work begins.

Any additional services will be quoted separately.
 

7. Cancellation & Refund Policy

Due to the time, preparation, and strategy involved in each project, all payments are non-refundable unless otherwise agreed in writing.

  • Retainer clients may cancel with 14 days’ notice.

  • Project-based clients may pause work, but unused hours are non-refundable and expire 90 days after invoicing.
     

8. Confidentiality

We respect your business and ideas. All sensitive client data, internal strategy, and brand materials are kept confidential unless explicitly authorized for marketing or portfolio use. We value trust and discretion in all of our client relationships. All sensitive client information, internal business strategies, digital assets, login credentials, and unpublished content will be treated as strictly confidential. Both parties agree to uphold privacy and intellectual ownership, and in some cases, a Mutual Non-Disclosure Agreement (NDA) will be signed to formally protect proprietary ideas, materials, and methods.  If the nature of the work or overlap in industries requires it, we may also enter into a Non-Compete Agreement (NC), to ensure mutual clarity and protection around niche services or competitive positioning.
 

9. Limitation of Liability

We are committed to providing our best work, but we cannot guarantee specific results from third-party platforms (such as Facebook Ads or Google algorithms). We are not liable for lost revenue, downtime, or platform limitations.
 

10. Updates to Terms

These Terms may be updated from time to time. We will notify active clients of material changes via email or through your client portal.
